These Terms and Conditions (“Terms”) govern your membership in the RenounPro Membership Club (“Membership” or “Program”) offered by Renoun, Inc. (“Renoun,” “we,” “us,” or “our”). By enrolling in the Membership and creating your RenounPro account, you (“Member” or “you”) agree that you have read, understood, and accepted these Terms.

1. Eligibility and Enrollment

• Membership is available by invitation or during periods of open enrollment on our website, www.renoun.com.
• By responding to an email invitation from us and creating a secure RenounPro account and completing check-out, you acknowledge that you have read, understood, and agree to be bound by our Membership Terms and Conditions.
• Membership dues are billed to the payment method selected at checkout, unless otherwise agreed in writing with a Parter Club
• Memberships are currently open to legal US residents 18 years of age and older and are non-transferrable.

2. Membership Fees and Commitment

• One-time Enrollment Fee;
• Ongoing monthly Membership Dues;
• Membership maybe cancelled at any time with at least 7 days' notice before the next billing date;
• Upon membership cancellation, if a Member chooses to keep their skis, they must pay a one-time fee of $100 plus the current value of the skis as determined by Renoun at the time of cancellation, if cancelled before 24 months;
• Upon membership cancellation, if a Member chooses to keep their skis, they must pay a one-time fee of $100, if cancelled after 24 months; and
• Upon membership cancellation, if a Member chooses to return their skis, Renoun will arrange for the Member to ship them back with a prepaid shipping label.

3. Membership Benefits

• Upon enrollment, Members will receive: A Welcome Package including: one pair of Renoun skis and appropriate Marker bindings (other bindings may be available for an upgrade fee) and Renoun branded accessories;
• Ski Selection: You have the option to select skis directly at the time of sign up or you may schedule a consultation with a Renoun trained equipment expert if you would like assistance in selecting the right equipment for you;
• Ski Protection: skis include enhanced damage and theft protection insurance (terms to be provided by email);
• Ski Swap Program:

1. One complimentary ski swap every 24 months;
2. The option to buy any additional skis at 20% off the then-current advertised retail price;
3. The option to return skis at no charge or donate skis to a Renoun-identified charity; and
4. The ability to swap skis at will for $150 per swap and to elect to direct your swapped skis to any of the charities listed by Renoun at the time of the swap, subject to space availability.

• Exclusive Colorways: Access to members-only ski color options, subject to availability.
• Binding Discounts: 30% discount off in-stock binding purchases at all times.
• Renoun PRO Marketplace 10% to 30% off outdoor gear and partner brand products, as offered by the partner brand.
• Exclusive offers and gifts.
• Community Engagement:

1. Access to local meetups and Renoun VIP events.
2. Complementary access to private and general community social media channels.

• Priority Trip Enrollment: Early access to limited capacity adventure experiences (subject to additional terms and conditions provided by our third-party travel coordinator).
• Special Events, such as:

1. Apres-ski cocktail parties at Partner Clubs and other mountain venues
2. Ski days with Renoun athletes and VIPs.

Renoun reserves the right to adjust or modify benefits over time with notice to members.

4. Account Creation and Access

• A secure Member account must be created to activate the Membership.
• Members are responsible for maintaining the confidentiality of login credentials.
• Unauthorized account access may result in suspension or termination of Membership.
• Members will also automatically be enrolled and given a separate login to the Renoun Pro Community channel.  The channel is accessible through any internet browser, however we recommend downloading the dedicated Renoun Pro community app. There is no fee for the app.

5. No Refunds; Membership Termination

• All Membership fees (enrollment and monthly) are non-refundable.
• In the event of a Member’s death, the Membership will be canceled, and no further dues will be charged. No refund of prior fees will be issued.
• Membership may be terminated by Renoun for breach of these Terms or misuse of benefits.

6. Failed Membership Payments

• In the event Renoun does not receive, or is unable to process, your monthly membership payment, we will alert you and your membership will be
  inactive until a payment is made.
• If payment is not received within 60 days, your membership will be terminated immediately with no refund

6. Disclaimers

• Renoun provides the Membership “as is” without warranties of any kind, express or implied.
• Renoun expressly disclaims all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
• Renoun makes no guarantees as to the availability, duration, or quality of any particular product, trip, event, or benefit.

7. Limitation of Liability

• To the fullest extent permitted by law, Renoun’s total liability to any Member for any claim arising out of or relating to the Membership shall be limited to the total Membership fees actually paid by the Member.
• Renoun is not liable for indirect, incidental, consequential, or special damages, including lost profits or personal injury.

8. Third-Party Products

• Any third-party products (e.g., from partner brands in the Marketplace) are subject to the standard product warranties and terms of the respective manufacturer or vendor.
• Renoun assumes no liability for defects, injuries, or damages caused by third-party products.
• Any return of third-party products purchased through the Renoun Pro marketplace should be handled directly through the third-party’s return process.  Renoun can only handle returns of Renoun products.

9. Privacy Policy

• Your personal information will be collected and used in accordance with Renoun’s Privacy Policy, available at: https://renoun.com/pages/privacy-policy

10. Force Majeure

• Renoun shall not be liable for any delay or failure in performance under
  these Terms due to events beyond its reasonable control, including acts of God, weather conditions, labor disputes, supply chain disruption, government actions, pandemics, or other emergencies.

11. Governing Law and Dispute
Resolution

• These Terms shall be governed by the laws of the State of Vermont, without
  regard to conflict of law rules. Any disputes arising from the Membership shall be resolved through binding arbitration in Burlington, Vermont, under the rules of the American Arbitration Association.

12. Modifications

• Renoun may update or modify these Terms at any time upon notice to
  Members. Continued participation in the Membership following such notice
  constitutes acceptance of the modified Terms.

13. Entire Agreement

• These Terms constitute the entire agreement between you and Renoun
  regarding the Membership and supersede any prior or contemporaneous
  understandings.

ACCEPTANCE OF TERMS

By creating a Renoun PRO account, you acknowledge that you have read,
understood, and agree to be bound by these Terms and Conditions.
